Terms of Service

1. Acceptance of Terms

By accessing or using estateFLOW (the “Service”), operated by SAYN Digital (“Company”, “we”, “our”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

estateFLOW is a cloud-based property management platform that allows property owners, managers, and real estate companies to manage properties, tenants, leases, payments, maintenance requests, and financial reporting. Access to certain features depends on your subscription plan.

3. Account Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@estateflow.app of any unauthorised use of your account.

You must be at least 18 years of age to use the Service. By registering, you confirm you meet this requirement.

4. Subscription Plans and Payment

The Service is offered under different subscription tiers (Free, Starter, Professional, Enterprise). Paid plans are billed in advance. Prices are quoted in Nigerian Naira (₦) and are subject to change with 30 days' notice.

Failure to pay for a paid plan will result in downgrade to the Free tier. We do not offer refunds for partial subscription periods unless required by applicable law.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of Nigerian law
• Upload false, misleading, or fraudulent information about tenants or properties
• Attempt to gain unauthorised access to other users' accounts or data
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to harass, discriminate against, or harm tenants
• Transmit malware, spam, or other harmful content
• Resell or sublicense access to the Service without our written consent

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms. As a user who enters data about third parties (e.g., tenants), you warrant that you have a lawful basis for processing their personal data and that you will inform them their data is stored on estateFLOW.

7. Intellectual Property

All intellectual property rights in the Service, including software, design, and content, are owned by SAYN Digital. You retain ownership of all data you upload to the Service. You grant us a limited licence to process your data solely to provide the Service.

8. Availability and Maintenance

We aim to maintain 99.5% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any loss caused by service downtime beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by Nigerian law, SAYN Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

Our total aggregate liability for any claims relating to the Service shall not exceed the amount you paid us in the three months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless SAYN Digital and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

You may terminate your account at any time by contacting support@estateflow.app. We may suspend or terminate your account immediately if you breach these Terms, with or without notice. Upon termination, you may export your data within 30 days before it is deleted in accordance with our Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved by binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, before any court proceedings.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or in-app notification at least 14 days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
